Introduction

Ramakrishnan has been a contentious lawyer for 30 years. He appeared before various courts and tribunals in England & Wales and India. Ramakrishnan specialises in Corporate law, including, Company winding up & Corporate restructuring, Mergers and acquisitions, Stock Exchange/SEBI Regulation, to name a few. He is also a Fellow of the Chartered Institute of Arbitrators based in London.

He has appeared as counsel in a large number of arbitrations involving commercial disputes in India and overseas. He has also acted for clients as counsel either challenging or upholding the challenge to Arbitration Awards.

In addition to practicing Corporate law, Ramakrishnan advises clients on general and procedural laws, including; Transfer of Property Act, Civil Procedure Code, Criminal Procedure Code, Court Fees Act, Hindu Laws, Indian Succession Act, the Stamp Act etc. He handles matters in general law such as partition suits, declarations suits, suits for specific performance, money suits, rent control proceedings, criminal cases, economic offences, petitions for quashing and for bail, probate and administration proceedings, insolvency proceedings etc.

Ramakrishnan has prosecuted and defended company petitions for winding up of companies. He has also handled voluntary winding up of companies outside the court. He has advised companies and obtained High Court approvals on reduction of share premium, share capital & other forms of corporate restructuring, including arrangements with creditors and restructuring under the Sick Industrial Companies (Special Provisions) Act 1985.

Ramakrishnan has worked on mergers, amalgamations and de-mergers, reorganisations relating to more than 300 companies. He has also advised companies on issues of Company Act, Public offers, buy-back, SEBI and stock exchange related issues Labour and employment.

Ramakrishnan has drafted agreements for takeover of companies and have given opinions extensively on SEBI DIP Guidelines, SEBI takeover code and other SEBI rules and regulations. He has also filed writ petitions challenging orders passed by SEBI/stock exchanges. Ramakrishnan has also appeared in stock exchange arbitrations and proceedings in the High Courts and in the Securities Appellate Tribunal challenging/defending stock exchange arbitration awards, challenging Stock Exchange and SEBI orders.
